SHIPPING POLICY

1. Scope and Application
This Shipping Policy ("Policy") governs all shipments of products ordered through the following platforms operated by NUVITA USA CORP and its affiliated entity NuvitaUSA.com & NuvitaAmerica.com (collectively, "Nuvita", “NuVita”, “NUVITA USA CORP”, "we", "us", "our"):
- www.nuvitausa.com and all associated subdomains and linked resources;
- www.nuvitaamerica.com and all associated subdomains and linked resources.
By placing an order through either Platform, you unconditionally acknowledge and agree to the terms of this Policy in their entirety. This Policy is incorporated by reference into Nuvita Website Terms of Service. In the event of any conflict, the Terms of Service shall govern.
2. Authorized Purchaser Requirement
Shipment of any product is contingent upon the purchaser being, and remaining at the time of shipment, a verified Authorized Purchaser as defined in Nuvita's Website Terms of Service. This means:
- The purchaser must be 21 years of age or older;
- The purchaser must be a duly authorized representative of a licensed research laboratory, accredited academic institution, registered scientific organization, government research entity, or pharmaceutical/biotech R&D facility;
- All required institutional credentials, licenses, permits, and regulatory registrations must be current, valid, and on file with Nuvita at the time of shipment;
- The shipping destination must be a verified, licensed institutional facility — shipments to residential addresses, P.O. boxes, freight forwarders, or third-party logistics addresses not associated with a verified institution will be refused.
3. Order Processing and Verification
3.1 Verification Hold
All orders are subject to a mandatory verification hold prior to processing and shipment. During this hold, Nuvita will:
- Verify the identity and institutional credentials of the purchaser;
- Confirm validity of all required licenses, DEA registrations, state permits, and accreditations;
- Screen the purchaser and shipping destination against OFAC sanctions lists, denied-party lists, and applicable export control databases;
- Confirm that the ordered product(s) may lawfully be shipped to the specified destination under all applicable federal and state laws.
Nuvita reserves the right to request additional documentation at any time during this verification process. Orders will not be released for shipment until verification is complete and satisfactory to Nuvita in its sole discretion. Nuvita does not guarantee processing timelines and shall not be liable for delays resulting from verification holds.
3.2 Processing Time
Subject to successful verification, orders are generally processed within two (2) to five (5) business days from the date of order confirmation. Processing times may be extended due to: high order volume, verification delays, product availability, regulatory review requirements, or circumstances beyond Nuvita's control. Quoted processing times are estimates only and do not constitute a guarantee.
4. Shipping Methods and Estimated Transit Times
Nuvita ships via carriers selected at its sole discretion based on product type, regulatory requirements, destination, and safety considerations. Estimated transit times are provided for informational purposes only and are not guaranteed.

Nuvita reserves the right to select the shipping method appropriate to the product, destination, and regulatory requirements, regardless of the method selected at checkout. If a substitution is required, Nuvita will notify the purchaser. Shipping method upgrades requested by the purchaser are subject to additional charges and Nuvita's approval.
Transit time estimates begin from the date of shipment, not the date of order placement. Nuvita is not responsible for carrier delays, force majeure events, customs holds, or any other circumstance outside of Nuvita direct control.
5. Shipping Costs
Shipping costs are calculated at checkout based on order weight, dimensions, shipping method, destination, and applicable regulatory surcharges (e.g., hazardous materials fees, dry ice fees, cold-chain handling fees). All shipping costs are the sole responsibility of the purchaser and are non-refundable once a shipment has been dispatched.
Nuvita reserves the right to adjust shipping charges after order placement if the actual shipping cost materially differs from the estimated cost due to carrier rate changes, incorrect package weight or dimensions provided by the ordering system, or regulatory surcharges not anticipated at checkout. Nuvita will notify the purchaser of any adjustment prior to shipment.
6. Special Handling — Hazardous Materials and Temperature-Sensitive Products
6.1 Hazardous Materials
Many products offered by Nuvita are classified as hazardous materials under U.S. Department of Transportation (DOT) regulations (49 C.F.R. Parts 100–185), IATA Dangerous Goods Regulations, or other applicable standards. Shipment of such products is subject to:
- Mandatory DOT/IATA-compliant packaging and labeling;
- Hazardous materials surcharges imposed by carriers;
- Restrictions on shipping method (e.g., certain hazmat products may not be eligible for air transport);
- Additional documentation requirements, including Safety Data Sheets (SDS) and shipping declarations.
The purchaser is solely responsible for ensuring that receipt, storage, and handling of hazardous materials at the destination facility complies with all applicable OSHA, EPA, DOT, and state regulations. Nuvita will not ship hazardous materials to any facility that does not hold appropriate hazmat receipt authorization.
6.2 Temperature-Sensitive and Cold-Chain Products
Certain products require refrigerated or frozen transport. For cold-chain shipments, Nuvita will use commercially reasonable packaging (e.g., dry ice, gel packs, insulated containers); however, Nuvita cannot guarantee temperature maintenance beyond the estimated transit window. The purchaser assumes all risk of temperature excursion after handoff to the carrier. Nuvita strongly recommends that purchasers arrange for prompt receipt and appropriate storage upon delivery. Nuvita is not liable for product degradation due to carrier delays or delivery failures.
7. Export Controls and International Shipping
All international shipments are subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR, 15 C.F.R. Parts 730–774), OFAC sanctions regulations, and the International Traffic in Arms Regulations (ITAR) where applicable. Nuvita will not process any international shipment without completing a full export compliance review.
By placing an international order, the purchaser represents and warrants that:
- The importation of the ordered product(s) into the destination country is lawful and all required import permits, licenses, and customs clearances are in place;
- The product will be used solely for lawful research purposes at the verified institutional destination and will not be re-exported without appropriate authorization;
- The purchaser and the end-use institution are not subject to U.S. or international sanctions, embargoes, or denied-party restrictions;
- All applicable import duties, tariffs, VAT, customs fees, and government-imposed charges are the sole financial responsibility of the purchaser.
Nuvita reserves the right to refuse, cancel, or hold any international order pending export compliance review, without liability to the purchaser. Delays caused by customs authorities, import inspections, or export license processing are beyond Nuvita's control and do not constitute grounds for refund or cancellation.
8. Title, Risk of Loss, and Insurance
Title to products and risk of loss transfer to the purchaser upon Nuvita's handoff of the shipment to the carrier at Nuvita shipping facility. From that point forward, the purchaser bears all risk of loss, damage, theft, delay, or destruction of the shipment.
Nuvita strongly recommends that Authorized Purchasers arrange appropriate cargo insurance for all shipments. Nuvita's liability for lost or damaged shipments is limited solely to Nuvita direct, documented error in packaging or carrier selection, and is subject to the limitations of liability set forth in the Website Terms of Service. Nuvita will not be liable for carrier-caused loss or damage beyond the carrier's own liability limits.
In the event of a lost or damaged shipment, it is the purchaser's responsibility to: (a) document the damage at the time of delivery; (b) file a claim directly with the carrier; and (c) notify Nuvita in writing within five (5) business days of the delivery date or the date loss was discovered. Nuvita will reasonably cooperate with carrier claims processes but assumes no financial liability for carrier-caused loss or damage.
9. Delivery, Receipt, and Inspection
Upon delivery, the Authorized Purchaser is responsible for:
- Inspecting all packages immediately upon receipt for visible damage, tampering, or discrepancy;
- Signing for delivery only if the package appears intact and undamaged — if damage is apparent, the purchaser should note the damage on the carrier's delivery receipt before signing;
- Verifying that the products received match the order confirmation in type, quantity, and labeling;
- Promptly storing products under conditions specified in the applicable Safety Data Sheet and product documentation;
- Maintaining receipt records as required by any applicable DEA, FDA, or state regulatory obligations.
Failure to inspect and document discrepancies at the time of delivery may waive the purchaser's right to any remedy. Nuvita must be notified of any discrepancy, shortage, or damage within five (5) business days of the confirmed delivery date. Claims submitted after this period will not be considered.
10. Refused, Undeliverable, and Abandoned Shipments
If a shipment is refused by the recipient, returned to Nuvita as undeliverable, or abandoned at a carrier facility for any reason attributable to the purchaser (including but not limited to: incorrect address, failure to accept delivery, failure to provide required import documentation, or regulatory hold caused by purchaser's non-compliance), the following applies:
- All original shipping charges, return freight charges, hazmat handling fees, storage fees, and any disposal costs incurred by Nuvita are the sole financial responsibility of the purchaser;
- No refund will be issued for the product cost;
- If the returned product has been compromised in transit, Nuvita will arrange for lawful disposal at the purchaser's expense;
- Nuvita reserves the right to pursue recovery of all costs incurred through legal action if necessary.
11. Right to Refuse Shipment
Nuvita expressly reserves the right, in its sole and absolute discretion and without liability, to refuse to ship, delay, hold, or cancel any order or shipment at any time, including after order confirmation, for any reason including but not limited to:
- Inability to verify purchaser eligibility or institutional credentials;
- Expired, revoked, or unverifiable licenses, permits, or registrations;
- Export control or OFAC compliance concerns;
- Regulatory restrictions applicable to the destination address or jurisdiction;
- Payment failure or suspected fraud;
- Product unavailability or inventory discrepancy;
- Any other circumstance that Nuvita, in its sole judgment, deems to present a legal, regulatory, safety, or reputational risk.
In the event Nuvita cancels an order after payment has been received due solely to Nuvita's inability to fulfill the order, a refund of the product cost will be issued. Shipping charges are non-refundable once a shipment label has been generated.
12. Tracking and Notifications
Upon dispatch, Nuvita will provide the purchaser with shipment tracking information to the institutional email address on file. Nuvita is not responsible for tracking notifications delayed or not received due to incorrect email addresses provided by the purchaser or carrier system outages. It is the purchaser's responsibility to monitor shipment status and ensure someone is available at the delivery address to receive the shipment.
13. Governing Law and Disputes
This Policy is governed by and construed in accordance with the laws of the State of Michigan, United States of America, without regard to its conflict-of-laws principles. Any dispute arising from or related to this Policy shall be resolved in accordance with the mandatory arbitration and dispute resolution provisions set forth in Nuvita's Website Terms of Service, which are incorporated herein by reference.
