RETURN & REFUND POLICY

1. Scope and Application
This Return & Refund Policy ("Policy") applies to all purchases made through the following platforms (collectively, the "Platforms") operated by NUVITA USA CORP and its affiliated entity NuvitaAmerica.com & NuVitaUSA.com :
- www.nuvitausa.com and all associated subdomains and linked resources;
- www.nuvitaamerica.com and all associated subdomains and linked resources.
By placing an order through either Platform, you unconditionally acknowledge and agree to the terms of this Policy. This Policy is incorporated by reference into NUVITA USA CORP Website( nuvitausa.com & nuvitaamerica.com ) Terms of Service and Privacy Policy. In the event of any conflict between this Policy and the Terms of Service, the Terms of Service shall govern.
2. All Sales Are Final — No Returns or Exchanges
The no-return policy exists for the following mandatory reasons, each of which independently justifies the policy:
2.1 Chain-of-Custody and Product Integrity
All products sold by NUVITA USA CORP are research-grade chemical or biochemical compounds requiring strict chain-of-custody documentation. Once a product leaves NUVITA USA CORP facility, NUVITA USA CORP cannot verify, confirm, or guarantee the integrity, purity, storage conditions, handling procedures, or chain of custody of that product. Accepting a returned product would introduce unacceptable scientific and liability risk.
2.2 Regulatory Compliance
NUVITA USA CORP operates under federal and Michigan state regulatory frameworks — including DEA regulations, state laboratory chemical control statutes, and applicable hazardous materials laws — that impose strict controls on the transfer, receipt, and disposal of research compounds. Accepting returned products may constitute a regulated transaction requiring separate licensure, permitting, or reporting that NUVITA USA CORP is not obligated to facilitate.
2.3 Contamination and Hazard Risk
Research compounds, once shipped and received, may have been exposed to contaminants, biological agents, incompatible chemicals, or environmental conditions unknown to Nuvita. Returning such products creates safety risks for NUVITA USA CORP personnel, carriers, and the public.
2.4 Misuse Prevention
NUVITA USA CORP products are sold exclusively for in vitro research use by Authorized Purchasers. NUVITA USA CORP cannot verify that a returned product has not been adulterated, reformulated, partially consumed, or otherwise misused. The “NO-RETURN” policy protects the integrity of NUVITA USA CORP product line and its regulatory standing.
3. No Refunds for Change of Mind, Ordering Error, or Regulatory Non-Compliance
Refunds will NOT be issued for any of the following reasons, without exception:
- Change of mind or cancellation after an order has been confirmed and processed;
- Ordering errors, including incorrect quantity, wrong product, or duplicate orders — it is the sole responsibility of the Authorized Purchaser to verify all order details prior to submission;
- Failure to obtain required permits, licenses, or regulatory approvals prior to ordering — it is the purchaser's sole responsibility to ensure all required authorizations are in place before placing an order;
- Delays caused by customs, import authorities, or export control review — NUVITA USA CORP is not responsible for regulatory holds imposed by any government authority;
- Refusal of delivery by any party;
- Product not meeting the purchaser's particular experimental expectations or research outcomes — product descriptions and specifications are provided for informational purposes and do not constitute a warranty of fitness for any specific research application;
- Account termination or suspension, whether voluntary or imposed by NUVITA USA CORP, after an order has been confirmed;
- Shipment to an incorrect address provided by the purchaser.
4. Sole and Exclusive Exception — Documented Product Defect or Fulfillment Error
NUVITA USA CORP will consider a request for product replacement or account credit ONLY in the following strictly limited circumstances:
- The product received is materially different from the product ordered (e.g., wrong compound, wrong concentration) due solely to a fulfillment error by NUVITA USA CORP; OR
- The product is demonstrably defective in a manner attributable solely to NUVITA USA CORP manufacturing, packaging, or handling prior to shipment, as determined exclusively by NUVITA USA CORP.
NUVITA USA CORP determination as to whether a defect or fulfillment error exists is final and binding. NUVITA USA CORP reserves the sole right to determine the appropriate remedy, which may include replacement of the affected product or issuance of a store credit. CASH REFUNDS WILL NOT BE ISSUED UNDER ANY CIRCUMSTANCES.
4.1 Mandatory Claim Procedure
To be considered for any remedy under this Section 4, the following procedure must be followed without exception:
- Step 1 — Notice Deadline: Written notice of the claimed defect or fulfillment error must be submitted to NUVITA USA CORP within five (5) business days of the confirmed delivery date. Claims submitted after this deadline will be rejected without review.
- Step 2 — Required Documentation: The written notice must include: (a) the order number and date; (b) a detailed written description of the claimed defect or error; (c) clear photographic or video evidence of the product as received, including packaging, labeling, and any visible defect; (d) a completed chain-of-custody declaration confirming how the product has been stored and handled since receipt; and (e) the name and contact information of the submitting Authorized Purchaser representative.
- Step 3 — NUVITA USA CORP Review: NUVITA USA CORP will review the submitted documentation within ten (10) business days of receipt and issue a written determination. NUVITA USA CORP may request additional information or documentation during this review period.
- Step 4 — Remedy: If NUVITA USA CORP determines that a valid defect or fulfillment error exists, NUVITA USA CORP will, at its sole discretion, either (a) ship a replacement product at no charge, or (b) issue a store credit equal to the value of the affected product. No cash refunds will be issued.
Submission of a claim does not suspend payment obligations. All amounts due to NUVITA USA CORP remain due and payable regardless of any pending claim.
5. Order Cancellation
Orders may NOT be cancelled once submitted. Order processing begins immediately upon submission and confirmation. If you believe you have made an ordering error, contact NUVITA USA CORP immediately at the address below; however, Nuvita is under no obligation to cancel or modify any confirmed order and will do so only in its sole discretion and where fulfillment has not yet commenced.
NUVITA USA CORP reserves the right to cancel any order at any time, including after confirmation, for reasons including but not limited to: inability to verify purchaser eligibility, payment failure, export control or regulatory restrictions, or product unavailability. In the event NUVITA USA CORP cancels an order after payment has been received, a full refund of the payment received will be issued to the original payment method. This is the only circumstance in which a monetary refund will be issued.
6. Disposal of Unwanted Products
If you have received a product that you no longer wish to use or possess, you are solely responsible for the lawful disposal of that product in accordance with all applicable federal, state, and local regulations, including but not limited to EPA hazardous waste regulations, DEA disposal requirements for controlled or List I/II chemicals, and applicable Michigan environmental statutes. NUVITA USA CORP does not facilitate, arrange, or accept responsibility for product disposal.
7. Governing Law and Disputes
This Policy is governed by and construed in accordance with the laws of the State of Michigan, United States of America, without regard to its conflict-of-laws principles. Any dispute arising from or related to this Policy shall be resolved in accordance with the dispute resolution and mandatory arbitration provisions set forth in NUVITA USA CORP Website Terms of Service, which are incorporated herein by reference.
